Terms of Service

DMlify provides an intelligent DM automation platform that enables creators, brands, and businesses to deploy automated conversation flows across Instagram and other messaging services. By accessing or using DMlify, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our platform. These Terms apply to all users of DMlify, including creators, brands, agencies, and any other individuals or entities accessing our services.

To access DMlify, you must register and create an account using accurate, complete, and current information. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify Dotlify AI immediately of any unauthorized use of your account. Dotlify AI will not be liable for any loss or damage arising from your failure to protect your account credentials. We reserve the right to disable accounts that violate these Terms or that we reasonably suspect have been compromised.

If you are an agency managing DMlify accounts on behalf of business clients, the business owner whose account is being managed shall serve as the primary account representative and shall remain legally responsible for compliance with these Terms. Agencies must obtain explicit written authorization from clients before managing their accounts and must ensure all managed accounts comply with these Terms. Dotlify AI may require verification of agency-client relationships at any time.

You retain ownership of all content you submit, upload, or transmit through DMlify ("User Content"). By submitting User Content, you grant Dotlify AI a non-exclusive, worldwide, royalty-free license to use, store, and process such content solely to provide and improve our services. You represent and warrant that your User Content does not infringe any third-party intellectual property rights, does not violate any applicable laws, and does not contain malicious code, viruses, or harmful material. Dotlify AI disclaims all liability for User Content submitted by users.

Users must comply with all applicable electronic messaging laws and regulations in their jurisdiction, including the Indian Information Technology Act, 2000, TRAI regulations, CAN-SPAM Act, GDPR, and any other relevant legislation governing electronic communications. You are solely responsible for ensuring your use of DMlify's messaging features complies with applicable laws. You agree to indemnify and hold harmless Dotlify AI from any claims, damages, or penalties arising from your non-compliance with electronic messaging regulations.

You may not use DMlify to: • Engage in any unlawful, fraudulent, or deceptive activities • Harass, threaten, or harm other individuals • Send unsolicited bulk messages or spam • Attempt unauthorized access to any system, account, or network • Violate the terms of service of Instagram, Meta, or any third-party platform • Distribute malware, viruses, or any malicious code • Infringe upon the intellectual property rights of others • Impersonate any person or entity • Engage in any activity that disrupts or interferes with our services • Collect user data without proper consent Violation of these prohibitions may result in immediate account termination and legal action.

By using DMlify, you represent and warrant that: • You are at least 18 years of age or have reached the age of majority in your jurisdiction • You have the legal authority to enter into these Terms • You will comply with all applicable laws and regulations • Your use of DMlify will not violate any third-party rights Note: If you are located in the European Economic Area (EEA), you must ensure compliance with GDPR requirements independently. DMlify does not serve as a data processor under GDPR arrangements unless separately agreed upon in writing.

All subscription fees and purchases through DMlify are final and non-refundable except where required by applicable law. By subscribing, you authorize Dotlify AI to charge your payment method on a recurring basis according to your chosen plan. Free trials automatically convert to paid subscriptions unless cancelled before the trial period ends. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing cycle. Dotlify AI reserves the right to modify pricing with 30 days' advance notice.

Either party may terminate this agreement at any time. Dotlify AI reserves the right to suspend or terminate your account at any time for violation of these Terms, suspected fraudulent activity, or for any other reason at our sole discretion. Upon termination, your right to access DMlify ceases immediately. Account data may be retained for up to 18 months following inactivity before permanent deletion, unless you request earlier deletion or applicable law requires otherwise.

DMlify may contain links to third-party websites or integrate with third-party services, including Instagram, Meta, and other platforms. Dotlify AI does not control and is not responsible for the content, privacy practices, or terms of such third-party services. Third-party integrations are provided on an "as-is" basis. Your use of third-party services is governed by their respective terms of service and privacy policies. We encourage you to review those terms before using any integrated services.

All rights, title, and interest in and to DMlify, including all software, designs, trademarks, logos, and content created by Dotlify AI, are and remain the exclusive property of Dotlify AI. Nothing in these Terms grants you any rights to use Dotlify AI's trademarks, trade names, or branding without prior written consent. You may not copy, modify, distribute, sell, or lease any part of our services or software, nor may you reverse engineer or attempt to extract the source code of DMlify.

If you believe that content on DMlify infringes your copyright, please submit a notice to our designated copyright agent at legal@dotlify.ai. Your notice must include: • Identification of the copyrighted work claimed to be infringed • Identification of the allegedly infringing material with sufficient detail to locate it • Your contact information • A statement of good faith belief that the use is not authorized • A statement that the information is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on their behalf

In the course of using DMlify, you may have access to confidential information belonging to Dotlify AI, including but not limited to technical documentation, business strategies, pricing, and proprietary workflows. You agree to keep all such information strictly confidential and not to disclose it to any third party without prior written consent from Dotlify AI. This obligation of confidentiality survives termination of your account and these Terms.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. DOTLIFY AI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOTLIFY AI'S TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU TO DOTLIFY AI DURING THE SIX (6) MONTHS PRECEDING THE CLAIM, OR ₹10,000 (TEN THOUSAND INDIAN RUPEES), WHICHEVER IS GREATER.

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiations. If unresolved within 30 days, disputes shall be submitted to binding arbitration or alternate dispute resolution in accordance with Indian law. All proceedings shall take place in Kanpur, Uttar Pradesh, India, and you consent to the exclusive jurisdiction of courts located therein for any matters not subject to arbitration.
